A Canadian law firm can assess an HSA as a defined employment medical benefit. The relevant questions are who is covered, which expenses qualify, what the plan promises and how the firm funds and records reimbursements.
Employees, Partners and Incorporated Owners
A qualifying employer PHSP may cover eligible law-firm employees. An incorporated owner’s benefit must arise in an employee capacity rather than solely from share ownership. A partner, contractor or self-employed lawyer should not automatically be treated as an employee beneficiary.
Qualifying self-employed PHSP premiums have separate contract, income, employee and deduction-limit conditions. Those premium rules are distinct from CRA’s archived warning about the HSA arrangement described for a sole proprietor without arm’s-length employees.
Incorporation, a T4 label or a salary/dividend amount does not independently establish PHSP qualification. Assess the employment purpose, actual arrangement and circumstances instead of applying an invented minimum salary or universal salary-percentage cap.

Separate the Employer and Employee Tax Results
Qualifying employee PHSP benefits are generally non-taxable federally. Québec has separate provincial taxable-benefit rules. Qualifying employer benefit costs may be deductible under the applicable business, employment-purpose and reasonableness requirements.
An unused allowance does not automatically establish an incurred deduction. A corporate tax rate or one personal tax bracket does not establish the net result for both the firm and participant. There is no universal 10–15% corporate rate, 35% saving or $1,500-per-person HSA allowance for every lawyer.
Medical and Family Coverage
Claims must meet their actual medical-expense category and plan conditions. Eligible dental, vision, qualifying drug and recognized practitioner services may be considered within the available benefit; generic therapy, alternative-wellness or medical-necessity labels are insufficient.
Gym memberships and ordinary vitamins or supplements are not eligible medical expenses. Vitamin B12 therapy prescribed for pernicious anaemia is the specific vitamin exception.
Family coverage depends on the covered-person, relationship, dependency and plan requirements. A spouse does not automatically need to be a separate employee for qualifying family coverage, but a family relationship alone does not create unrestricted tax-free income splitting or coverage for the entire household.
Reasonable Benefits and Carry-Forward
Document the basis for reasonable allowances and participant classes. Section 67 concerns the reasonableness of deductions in the circumstances; it does not establish a universal 20–25%-of-salary formula or a safe-harbour allowance range.
For a qualifying flexible HSA, the plan may permit either unused credits or eligible expenses to carry forward for up to 12 months, not both. An HSA is not a personal investment or retirement account with indefinite accumulation.
A Funding Example Without a Tax-Saving Claim
Assume a qualifying firm plan actually reimburses $10,000 in eligible expenses and an assumed 10% administration fee applies. Administration is $1,000 and total funding is $11,000 before applicable taxes and separate agreed charges.
This hypothetical example calculates funding only. Eligible reimbursements, employer deductions and employee federal/provincial treatment require separate facts before a net saving can be estimated.
Under Wellbytes’ current HSA Pay-as-You-Use terms, the rate is 10% of eligible reimbursed amounts plus applicable taxes, with no setup or recurring subscription fee. Other funding arrangements follow their accepted terms.
Compare Insurance and Provider Terms
Qualifying insured health and dental PHSP benefits can also receive favourable federal treatment. Compare complete charges, available benefits, deductibles, exclusions and high-cost risks. An HSA does not automatically provide broader or cheaper protection.
An insurance-and-HSA bundle is not automatically unlawful or ineligible. Assess the actual sales arrangement and applicable consumer or competition rules separately from PHSP tax qualification. A standalone provider does not guarantee CRA compliance or audit protection.
What Changed in CRA’s 2025 Guidance?
CRA’s August 2025 PHSP update clarified existing policy rather than introducing a universal higher allowance or new salary requirement. For insured plans, the all-or-substantially-all test generally concerns the relevant premiums; for self-insured plans, it generally concerns benefits actually paid in the calendar year.
CRA generally interprets all or substantially all as 90% or more. Unspent self-insured allowances are not the basis for that calculation. Check the current guidance and actual plan operation.
Practical Setup and Review
- Confirm the firm, business structure and covered participants.
- Document reasonable allowances, categories, periods and claim deadlines.
- Review written administration, funding, support and fee terms.
- Explain required receipts, prescriptions, certifications and claim review.
- Retain plan, claim, fee and payment records and apply relevant reporting.
- Review changes in participants, business circumstances or applicable rules.
Confirm actual digital submission and reporting functions. No software, annual review, provider or checklist guarantees qualification, instant payment or fewer audits.
